1. Introduction and acceptance
These Terms of Service ("Terms") govern your access to and use of the Verify Recruits platform, website, and related services (the "Services") operated by Verify Recruits Ltd ("Verify Recruits", "we", or "us").
By creating an account, submitting a verification request, or otherwise using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these Terms, you must not use the Services.
2. Definitions
- "Client" — the employer organisation that has registered for an account and requests verification services.
- "Candidate" — an individual who is the subject of a verification request submitted by a Client.
- "User" — an individual authorised by a Client to access the platform on its behalf.
- "Verification" — a background, identity, employment, education, reference, or income check performed through the platform.
- "Platform" — the Verify Recruits web application, API, and candidate portal.
3. Account eligibility
To register an account, you must be at least 16 years old and authorised to act on behalf of a legitimate employer organisation. You agree to provide accurate and complete information when registering and to keep your account details current.
You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at security@[verify-recruits].com of any unauthorised use.
4. The Services
Verify Recruits provides a platform that enables Clients to:
- Request and manage employment verification checks for candidates;
- Invite candidates to complete verifications through a secure portal;
- Receive verification results, including identity, employment history, education credentials, references, and HMRC income data;
- Generate compliance reports and audit trails; and
- Integrate with applicant tracking and HR information systems via API.
We may modify, suspend, or discontinue features of the Services at any time, with reasonable notice to Clients where the change is material.
5. Client responsibilities
Clients agree that they will:
- Obtain all necessary consents from candidates before submitting a verification request, including consent for HMRC income and employment checks;
- Use the Services only for lawful employment verification purposes and in compliance with all applicable laws, including the UK GDPR, the Data Protection Act 2018, and employment and immigration legislation;
- Not submit verification requests for individuals without a legitimate employment-related purpose;
- Ensure that Users authorised to access the platform are trained on these Terms and our acceptable use policy;
- Pay all applicable fees in accordance with the selected subscription plan.
6. Acceptable use
You must not, and must not permit any User to:
- Use the Services to harass, discriminate against, or unlawfully discriminate in relation to any candidate;
- Submit verification requests for purposes unrelated to employment, such as private investigation;
- Attempt to access, reverse engineer, or compromise the platform's security;
- Share account credentials or allow unauthorised individuals to access the platform;
- Use the Services to transmit malware, spam, or unlawful content; or
- Resell or sublicense access to the Services without our written consent.
Violations may result in suspension or termination of your account, at our sole discretion.
7. Candidate consent and authorisation
Clients are solely responsible for obtaining and evidencing candidate consent for each verification check. Verify Recruits provides consent capture mechanisms within the candidate portal, but the Client remains the data controller responsible for ensuring that consent is freely given, specific, informed, and unambiguous.
Where a candidate withdraws consent or objects to a check, the Client must promptly cease the relevant processing and instruct Verify Recruits to halt the verification in progress.
8. Fees and billing
Fees for the Services are set out in the subscription plan selected by the Client, as displayed on our pricing page or agreed in a separate order form. Unless otherwise stated, fees are billed monthly in advance and are exclusive of VAT.
Additional verification checks beyond the included allowance are charged at the rate published on the platform. Invoices are payable within 30 days. Late payment may result in suspension of the Services.
We may change our fees on at least 30 days' notice. Changes take effect at the start of the next billing cycle following the notice.
9. Intellectual property
Verify Recruits retains all rights, title, and interest in the platform, including software, designs, trademarks, and documentation. Clients retain all rights in the candidate data and verification results they submit or receive through the platform.
Clients grant Verify Recruits a non-exclusive licence to use their data solely to provide and improve the Services. We do not claim ownership of Client or candidate data.
10. Data protection
The parties' data protection obligations are set out in our Data Processing Agreement, available at /legal/data-processing, which is incorporated into these Terms by reference. Clients must comply with our Privacy Policy and Cookie Policy, available at /legal/privacy and /legal/cookies.
11. Warranties and disclaimers
Verify Recruits provides the Services using reasonable skill and care. We do not guarantee that verification results will be complete, accurate, or available at all times, as results depend on third parties including HMRC, educational institutions, and referees.
To the maximum extent permitted by law, the Services are provided "as is" and we exclude all warranties, conditions, and terms implied by law. We are not liable for decisions made by Clients based on verification results.
12. Limitation of liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Subject to that, neither party's total liability under these Terms shall exceed the fees paid by the Client to Verify Recruits in the 12 months preceding the event giving rise to the claim.
Neither party shall be liable for indirect, consequential, or loss-of-profit damages arising out of these Terms.
13. Term and termination
These Terms apply from the date you first use the Services and continue until your account is terminated. Clients may terminate their account at any time with 30 days' written notice. We may suspend or terminate access immediately for breach of these Terms, non-payment, or where required to protect the platform or other users.
On termination, we will make Client and candidate data available for export for 30 days, after which it will be securely deleted in accordance with our retention schedule, save for data we are required to retain by law.
14. General terms
- Notices — we will contact you via the email address associated with your account.
- Assignment — you may not assign these Terms without our consent; we may assign them on a change of control.
- Governing law — these Terms are governed by the laws of England and Wales.
- Jurisdiction — the courts of England and Wales have exclusive jurisdiction over disputes arising from these Terms.
- Severance — if any provision is found unenforceable, the remaining provisions remain in full force.
